In these Terms, “DVINS,” “we,” “us,” and “our” refer to DVINS Jewels. “You,” “your,” “buyer,” and “customer” refer to the person, business, or organization accessing the website or communicating with us. By accessing the website, submitting an enquiry, or requesting information from us, you agree to these Terms.
About This Website
The DVINS Jewels website is primarily a business-to-business catalogue and enquiry platform. It allows retailers, wholesalers, distributors, jewelry brands, and e-commerce businesses to view our collections, learn about our manufacturing capabilities, request catalogues or wholesale pricing, submit product and sample enquiries, and discuss custom or private-label manufacturing with us.
Unless expressly stated otherwise, products displayed on the website are not offered for immediate online purchase.
Who May Use This Website
You must be at least 18 years old and legally capable of entering into a binding agreement to use the website or do business with us. If you act on behalf of a company, brand, store, or other organization, you confirm that you have the authority to legally bind that organization. You are responsible for making sure that all information you submit to us is accurate, complete, and current.
Website Information Is Not a Binding Offer
Images, designs, descriptions, weights, dimensions, stone details, certifications, prices, delivery timelines, and other information on the website are provided for general catalogue and informational purposes only. Website content does not constitute a binding offer to sell, a confirmed quotation, a guarantee of availability, a production commitment, or a final product specification.
Submitting an enquiry, requesting a catalogue, or discussing a product does not create a binding order and does not require DVINS Jewels to manufacture or supply any product.
Quotations and Order Acceptance
A transaction becomes binding only after all the following have taken place:
- DVINS Jewels issues or approves a written quotation, pro forma invoice, order confirmation, or agreement
- You accept the applicable commercial terms
- The required product specifications and approvals are completed
- Any required advance or payment is received and confirmed
We may accept, reject, limit, or request changes to an enquiry or proposed order at our reasonable discretion. A quotation is valid only for the period stated in it. If no validity period is stated, we may revise or withdraw the quotation at any time before the order is accepted.
Order-Specific Documents
Each confirmed order may also be governed by order-specific documents such as quotations, pro forma invoices, accepted purchase orders, CAD and sample approvals, specification sheets, invoices, manufacturing agreements, or written confirmations from our authorized representatives. If an order-specific written document conflicts with these Terms, that document will apply the particular transaction to the extent of the conflict.
Terms contained in your purchase order or communications will not bind DVINS Jewels unless expressly accepted in writing by our authorized representative.
Pricing, Taxes, and Market Fluctuations
Jewelry pricing depends on factors such as gold, silver, and platinum rates, natural or lab-grown diamond rates, gemstone type and quality, metal purity, stone size and quantity, product weight, design complexity, labor, certification requirements, currency movements, taxes, duties, logistics costs, and order quantity.
Unless expressly stated otherwise, website content does not represent final or guaranteed pricing. Prices may be revised before final order acceptance where market rates, specifications, quantities, or other commercial factors change. After an order has been accepted, any price adjustment will be governed by the applicable quotation, invoice, or written agreement.
Prices may be exclusive of applicable GST, duties, levies, cess, shipping, insurance, certification charges, and other government or transaction-related charges. These will be stated in the relevant quotation or invoice wherever reasonably possible. You are responsible for providing accurate GST, billing, and business information.
Product Information, Images, and Natural Variations
We take reasonable care to provide accurate product information, but unintentional errors may occur in descriptions, prices, specifications, measurements, weights, images, availability, or timelines. We reserve the right to correct obvious typographical, clerical, technical, or pricing errors. Where a material error affects an enquiry or order, we may correct the information, issue a revised quotation, adjust quantities or specifications, request additional payment, refund an overpayment, refuse or cancel the affected order, or propose another reasonable solution. An obvious error will not create a binding commercial right.
Product photographs, videos, renders, and CAD images are provided for representation only. The appearance of a physical product may vary due to screen settings, lighting, photography, magnification, hand-finishing, metal colour or plating, stone characteristics, and normal production tolerances. Natural diamonds and gemstones may vary in colour, clarity, texture, and inclusions. Such natural or commercially reasonable variations are not considered defects.
Custom and Private-Label Manufacturing
Custom, private-label, and white-label products may be developed from your sketches, reference photographs, CAD files, samples, logos, packaging requirements, or other specifications.
Approvals Before Production
You are responsible for reviewing and approving all material specifications before production begins. Depending on the order, approvals may cover the CAD design, dimensions, metal type and purity, stone type and quality, estimated weight, size, engraving, logo placement, plating, sample product, packaging, and production quantity. Once a CAD, sample, or specification has been approved, production may begin. Changes requested after approval may result in additional charges, revised timelines, or remanufacturing costs.
Manufacturing Tolerances
Jewelry is made through a combination of technical and hand-finishing processes. Unless expressly guaranteed in writing, reasonable commercial tolerances apply to final metal weight, stone weight, dimensions, ring size, chain or bracelet length, stone placement, colour, plating thickness, and finish. Final weight and pricing may be adjusted according to the actual completed product where this is stated in the quotation or invoice.
Intellectual Property
Designs and Materials You Provide
By submitting a design, photograph, logo, CAD file, sample, or other material, you confirm that you own it or have permission to use it, that its use and manufacture will not violate another person’s rights, that it does not infringe any copyright, trademark, design, patent, or other intellectual-property right, and that DVINS Jewels may use it to evaluate, develop, manufacture, and fulfil your request.
We may refuse any project where ownership or authorization is unclear. You are responsible for claims arising from materials or instructions you supply, except to the extent caused by our own independent, wrongful conduct.
Our Designs and Website Content
Unless otherwise stated, all website content, including jewelry designs, photographs, videos, graphics, renders, CAD representations, descriptions, text, logos, and layout, is owned by or licensed to DVINS Jewels. You may view the content for legitimate business evaluation. Without our prior written permission, you may not:
- Copy, reproduce, or republish website content, or download product images in bulk
- Remove logos, watermarks, or ownership notices
- Use our content in catalogues, advertisements, or online marketplaces
- Claim our designs as your own or create unauthorized derivative designs
- Convert images into CAD or three-dimensional models, or manufacture jewelry based on copied website designs
- Scrape, harvest, or systematically extract website content using automated tools
- Use website content to train, develop, or improve artificial intelligence, machine-learning, or automated design systems
No licence or ownership right is granted merely because content is visible on the website.
Confidentiality of Wholesale Information
Wholesale prices, quotations, samples, technical specifications, manufacturing details, CAD files, supplier information, and other non-public commercial information shared by DVINS Jewels must be treated as confidential. You may use this information only to evaluate or conduct business with us. You may not disclose it to competitors, unauthorized third parties, or the public without our prior written permission.
Payments
Payment requirements are stated in the applicable quotation, pro forma invoice, or written agreement. Depending on the transaction, we may require full or partial advance payment, stage-wise payment, payment before dispatching, or other mutually agreed terms.
Production does not begin until the required advances and approvals have been received. We may suspend production, withhold dispatch, or cancel an order where payment is delayed or not received as agreed. Bank charges, payment-processing fees, and currency-conversion costs are borne by the party identified in the applicable quotation or invoice.
Cancellations and Changes
You may withdraw an enquiry at any time before an order is formally accepted. After acceptance, cancellation or modification requires our written approval. Where work has already begun, you may be responsible for costs already incurred, including CAD and design work, sample development, metal and stone purchases, labour, certification, packaging, and administrative expenses.
Custom-made, engraved, logo-branded, specially sized, and private-label products generally cannot be cancelled or returned simply because of a change of mind.
Production and Delivery Timelines
Any production, completion, or dispatch date is an estimate unless we expressly guarantee it in writing. Timelines begin only after final specifications are confirmed, CAD or sample approval is received, the required payment is made, materials are available, and all necessary information has been provided. Requested changes, delayed approvals, or delayed payments may extend the timeline. We make reasonable efforts to communicate material delays but do not guarantee uninterrupted or delay-free production.
Shipping, Delivery, and Risk
Shipping arrangements, charges, insurance, and delivery terms are stated in the applicable quotation or invoice. You must provide accurate delivery details and ensure that an authorized person is available to receive the shipment.
Responsibility for loss or damage during transit is determined by the agreed shipping terms, the selected courier or logistics service, the availability and terms of transit insurance, and the applicable quotation or invoice. Please inspect the outer packaging at delivery and promptly report any visible damage, tampering, or shortage to both the courier and DVINS Jewels.
Inspection, Defects, and Claims
Please inspect products promptly after delivery. Any claim relating to quantity shortage, incorrect products, visible damage, manufacturing defects, non-conformity with approved specifications, or missing certification must be submitted within the claim period stated in the relevant quotation, invoice, or written agreement. Your claim should include the order or invoice number, clear photographs or videos, product details, a description of the issue, and any other information we reasonably request.
Products should not be altered, repaired, resized, set, unset, polished, or resold before we have reviewed the claim. If we confirm a covered manufacturing defect, the remedy may include repair, replacement, adjustment, credit, or refund, as determined under the applicable order terms. Normal wear, mishandling, accidental damage, unauthorized repair, and commercially reasonable product variations are not manufacturing defects.
Returns
No product may be returned without our prior written authorization. Return eligibility, procedure, shipping responsibility, and remedy are governed by the applicable quotation, invoice, or written agreement. Unless expressly agreed otherwise, custom-manufactured, private-label, engraved, logo-branded, special-size, and modified products, and products made to your approved specifications, are not returnable for change of mind. Unauthorized returns may be refused or sent back to the sender.
Diamonds, Gemstones, and Certifications
Our jewelry may contain natural diamonds, lab-grown diamonds, gemstones, moissanite, and other stones or materials. The applicable product type, quality, treatment, certification, and grading details are stated in the quotation, specification, certificate, or invoice where relevant. Certification is provided only where expressly included in the order. Grading and measurement may vary within accepted industry tolerances or between laboratories and testing methods.
You must not misrepresent natural diamonds, lab-grown diamonds, gemstones, treatments, certifications, metal purity, or other material product characteristics to subsequent purchasers.
Resale Responsibilities
If you purchase products for resale, you are responsible for describing them accurately to your customers, disclosing whether diamonds are natural or lab-grown, disclosing relevant gemstone treatments, representing metal purity and stone quality correctly, preserving certificates and documentation, complying with applicable hallmarking, labelling, and consumer laws, and avoiding false or misleading claims. DVINS Jewels is not responsible for representations independently made by a reseller that differ from the product information we supplied.
Acceptable Use of the Website
You must not use the website to conduct unlawful or fraudulent activity, submit false or misleading information, infringe intellectual-property rights, introduce malware or harmful code, attempt unauthorized access, interfere with website security, scrape or harvest information, impersonate another person or company, send spam or abusive communications, or use the website in a way that damages DVINS Jewels or other users. We may restrict or block access where misuse is suspected.
Third-Party Links
The website may link to third-party platforms, maps, social media pages, marketplaces, certification organizations, or service providers. Indemnification
You agree to indemnify and hold harmless DVINS Jewels and its owners, employees, representatives, and service providers against third-party claims, losses, or expenses arising from your unlawful use of the website, your breach of these Terms, materials or designs your supply, your infringement of intellectual property rights, misrepresentation of products during resale, or your violation of applicable law. This section does not apply to the extent a claim results directly from our own independent unlawful conduct.
Force Majeure
We are not responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, fire, flood, epidemics, war, terrorism, civil disturbance, government restrictions, changes in law, labour disputes, power or internet failure, equipment breakdown, material shortages, transport or courier disruption, banking disruption, or failure of essential suppliers. Affected obligations may be suspended or extended for a reasonable period.
Suspension or Termination
We may suspend communications, decline an enquiry, stop production, or terminate a transaction where agreed terms are breached, payment is not received, information provided is false or misleading, intellectual-property infringement is suspected, the project may violate the law, abusive or fraudulent conduct occurs, or continuing the transaction creates a material legal, financial, or reputational risk. Any outstanding payment or accrued obligation continues after termination.
General Provisions
If we fail or delay in enforcing any provision of these Terms, this does not waive our right to enforce it later. A waiver is valid only when made in writing by our authorized representative. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in effect, and the invalid provision will be interpreted or modified to the minimum extent necessary to make it lawful and enforceable.
Governing Law and Jurisdiction
These Terms and any transaction or dispute connected with the website or DVINS Jewels are governed by the laws of India. Subject to any mandatory dispute-resolution requirement under applicable law, the courts located in Surat, Gujarat, India have exclusive jurisdiction.
Changes to These Terms
We may update these Terms from time to time to reflect changes in website functionality, products and services, business practices, legal requirements, or commercial policies. Updated Terms will be posted on this page with a revised date. Changes will not retroactively alter an already accepted order unless agreed in writing or required by law.
